01 · Fix the scope and document revision

Make every commercial reference point to the same requirement.

Shisha charcoal purchase order commercial terms need to describe the same product and scope across the quotation, purchase order and supplier confirmation. A familiar product name or an earlier conversation leaves room for different interpretations. Resolve material differences before treating the order as ready for release.

Record buyer and seller details, quotation reference, revision, validity and the people authorized to clarify the order. List the documents and attachments being reviewed. If the quotation, buyer PO, supplier confirmation or attached conditions differ, ask the parties to reconcile the difference and record their agreed document references and precedence.

Identify the product grade, cube format, specification revision and approved sample reference. State how the sample relates to production and which measured requirements and methods apply. A sample approval should not silently approve a different grade, packing configuration or production change introduced later.

Define the ordered quantity and unit, net product basis, carton contents and any proposed quantity tolerance. Record whether a tolerance applies by SKU or to the total and how the final invoice will reflect actual supply. Use a negotiated value and measurement basis rather than assuming a universal shortage or excess allowance.

02 · Confirm price basis and payment milestones

Tie amounts and due events to observable records.

Confirm currency, unit price, quantity basis and the scope included in the quoted total. Separate recurring goods and packaging from one-off development and optional services where quoted. Reconcile the calculation and exclusions against the same order configuration; an unpriced required item remains an open cost, not zero.

Record the offer-validity date and which changes require a revised quotation, such as quantity, packaging, delivery scope or timing. Keep current written pricing distinct from a planning estimate or a previous order. Do not assume that a new PO fixes an expired offer or that a repeated SKU preserves the previous commercial conditions.

For each proposed payment milestone, write the amount or agreed proportion, currency, due event, required evidence, reviewer and payment method. Clarify what terms such as before loading or against documents mean in the actual transaction. A date, an event and a document-review condition should not be used interchangeably without agreement.

Reconcile total scheduled payments with the order total and record the agreed treatment of fees or adjustments. Confirm beneficiary and payment instructions through the established company process and clarify any inconsistency before payment. This checklist does not set a standard deposit, credit period or payment guarantee; use the current negotiated offer.

03 · State the delivery rule and named location

Keep delivery allocation separate from the rest of the sale.

Record the selected Incoterms rule, the precise named port, place or point, and the agreed edition. ICC guidance emphasizes this complete reference. Ask the supplier and logistics parties to review the proposed rule against the actual movement and explain the delivery point, cost allocation and risk transfer for that arrangement.

Incoterms rules address defined delivery obligations, costs and risks; they do not replace a complete sales contract. ICC guidance distinguishes them from payment and quality terms and from ownership transfer. Confirm those matters separately rather than assuming a three-letter delivery reference answers them.

Create an order responsibility record for the services within and beyond the quoted scope. Identify the party arranging each service, its cost status and the evidence needed at handoff. Ask about transport, insurance, origin and destination activities as applicable to the selected arrangement; do not assume every item belongs to the same party.

Have the appointed importer and service providers confirm current destination and consignment needs. This guide does not determine a customs classification, duty, tax rate or universal shipment acceptance. Where a delivery or contract interpretation remains material, have the parties and their relevant advisers resolve it before confirming the scope.

04 · Freeze packaging, artwork and inspection scope

Make approval and change responsibilities explicit.

List inner-pack contents, net mass, master-carton configuration, materials or construction references and marking requirements in the accepted brief. Link each to a revision. If any element is still proposed, identify who must approve it and whether procurement or production can begin before that approval.

For private label, record artwork files, proof references, approval owner and the released revision. Confirm who prepares files and who checks their content. Clarify access and use arrangements for files, tooling and unused materials where relevant. Do not assume that a visual mockup establishes a production-approved pack.

Define inspection or testing scope, timing, acceptance criteria, sample or batch identity, evidence and reviewer. Confirm whether the service is included, additional, buyer-arranged or unsupported. A generic instruction to inspect quality leaves the method, coverage and release authority unresolved.

Write the process for deviations and changes: who raises the request, what evidence is reviewed, who approves and how price, quantity or timing effects are confirmed. Keep the resulting approval with the order revision. Schedule pressure should not silently authorize a substitute product, different packaging or reduced check.

05 · Separate production, shipment and document milestones

Attach each window to its release conditions.

Record the conditions that start the production plan, including the approvals and commercial milestones actually agreed. Distinguish an indicative capacity discussion from a confirmed order window. Use the production-and-packaging timeline guide to check dependencies between product readiness, materials, proofs, quality release and packing.

Separate proposed production completion, goods-ready, loading, shipment and destination stock-available windows. Identify the owner and status of each date and the conditions supporting it. A factory completion estimate is not an arrival commitment, and a tentative logistics window should remain labelled as such.

Create a document matrix listing each agreed record, issuer, data source, format, review stage and delivery recipient. Confirm which details are available in draft and which depend on final packing or shipment data. Let the importer and relevant service providers confirm route-specific requirements instead of copying an unrelated shipment’s document list.

Assign responsibility for draft review, corrections and final release of documents. Reconcile quantities, product description and party details with the accepted order and actual shipment records. Define who provides milestone updates and when a changed assumption must trigger a revised schedule or buyer decision.

06 · Agree the claims process and close open conditions

Make the issue-handling path reviewable before a problem occurs.

Ask the parties to confirm the proposed notification process for quantity, condition or quality issues. Record contacts, evidence expectations, relevant timing references and review responsibilities. Do not invent a standard claim deadline or assume that a buyer’s preferred wording is an accepted Unimax policy.

Plan the operational evidence: order and batch identity, packing condition, receipt records, observations, photographs and the agreed test basis where relevant. Keep disputed stock identifiable and record the handling decisions. Evidence preparation supports review; it does not by itself establish fault, liability or entitlement to a remedy.

Clarify how proposed corrective action or remedies will be reviewed and approved, without assuming an automatic refund, replacement or credit. Any clauses dealing with cancellation, liability, governing law or disputes need agreement and appropriate transaction-specific review. This page is a procurement confirmation aid, not a ready-to-sign contract.

Before release, mark every checklist row agreed, pending, excluded or not applicable with a reason and evidence reference. Close material inconsistencies and obtain the appropriate confirmations against one revision. Send Unimax the destination, monthly demand, target timing and commercial scope so a current offer can address the actual requirement.

Commercial confirmation questions

Does an Incoterms reference define the payment schedule?

No. Confirm payment milestones, due events, evidence and method separately. Use the full delivery reference with the agreed named location and edition.

Can I reuse the terms from my previous order?

Check the current offer, specification, quantity, pack and timing. Resolve changes and expired validity rather than assuming previous terms continue unchanged.

What should a quantity tolerance describe?

Record the agreed value, unit, scope by SKU or total, measurement basis and treatment in the final quantity and invoice. Do not assume a standard tolerance.

Does this checklist replace an agreed sales contract?

No. It helps buyers identify and reconcile open commercial details. The parties still need the appropriate order documents and transaction-specific review for contractual provisions.

Send the destination, volume, timing and commercial scope.

Send Unimax your company, country, buyer type, product requirement, sample reference, monthly demand, proposed quantity, packaging/artwork status, private-label need, destination, target timing and requested commercial scope. Ask for a current offer and clarification of open terms before PO confirmation.
